Terms of Service

1. Acceptance of Terms

By accessing and using Prysm's services ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), along with our Privacy Policy and all applicable laws and regulations. If you do not agree with any part of these terms, you must immediately discontinue use of our Service. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Prysm Technologies Inc. ("Prysm," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and your continued use of the Service following any changes constitutes your acceptance of such changes.

2. Description of Service

Prysm provides a comprehensive platform for managing and optimizing OpenAI usage ("Service"). This includes, but is not limited to:

  • Advanced cost management and optimization tools
  • Real-time usage tracking and analytics
  • Infrastructure management and monitoring
  • API key management and security controls
  • Usage forecasting and budgeting tools
  • Custom integration capabilities

The Service is provided "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice. We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of the Service or any content provided therein.

3. User Accounts and Registration

3.1. Account Creation: To access the Service, you must register for an account. During registration, you agree to provide accurate, current, and complete information about yourself and your organization. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2. Account Security: You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any losses caused by any unauthorized use of your account.

3.3. Account Requirements: You must be at least 18 years old to create an account. By creating an account, you represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • You are not barred from using the Service under any applicable laws
  • Your use of the Service will not violate any applicable laws or regulations
  • All information provided during registration is accurate and complete

4. Pricing and Payments

4.1. Payment Terms: Users agree to pay all fees or charges to their accounts in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Detailed pricing information is available on our pricing page.

4.2. Billing Cycles: Unless otherwise specified, billing cycles are monthly and begin on the date you activate your paid subscription. All payments are non-refundable unless explicitly stated otherwise.

4.3. Late Payments: If payment is not received by the due date, we reserve the right to:

  • Assess late payment fees
  • Suspend or terminate your access to the Service
  • Remove or disable access to any content associated with your account
  • Pursue any other remedies available under law

4.4. Price Changes: We reserve the right to modify our pricing at any time. You will be notified of any price changes at least 30 days in advance.

5. Data Privacy and Security

5.1. Data Collection: We collect and process personal information as described in our Privacy Policy. By using the Service, you consent to such collection and processing.

5.2. Data Security: We implement industry-standard security measures to protect your data, including:

5.3. Data Processing: In processing your data, we:

6. Service Level Agreement

6.1. Service Availability: We strive to maintain 99.9% service availability, excluding scheduled maintenance windows. Our Service Level Agreement (SLA) defines:

  • Guaranteed uptime commitments
  • Response time objectives
  • Problem resolution timeframes
  • Compensation for service interruptions

6.2. Maintenance Windows: Scheduled maintenance will be communicated at least 48 hours in advance, except in cases of emergency maintenance.

6.3. Support Services: We provide technical support through multiple channels:

  • 24/7 email support
  • Priority phone support for enterprise customers
  • Online documentation and resources
  • Community forums

7. Termination

7.1. Termination Rights: We reserve the right to terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activities
  • Non-payment of fees
  • Abuse of system resources

7.2. Effect of Termination: Upon termination:

  • All rights and licenses granted to you will immediately cease
  • You must cease all use of the Service
  • Any outstanding payments will become immediately due
  • You may request a copy of your data within 30 days

8. Intellectual Property Rights

8.1. Ownership: All rights, title, and interest in and to the Service, including all intellectual property rights, are and will remain the exclusive property of Prysm and its licensors.

8.2. License Grant: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

8.3. Restrictions: You may not:

  • Modify, copy, or create derivative works of the Service
  • Reverse engineer or decompile the Service
  • Remove or modify any proprietary notices
  • Transfer or sublicense the Service to any third party

9. Limitation of Liability

9.1. Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRYSM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

9.2. Liability Cap: Our total liability for any claim arising from or related to these Terms shall not exceed the amount paid by you to us in the 12 months preceding the incident giving rise to the claim.
